Welcome to SkillDesk.ai. These Terms of Service ("Terms") govern your access to and use of the SkillDesk Academy platform, including our website, web application, mobile interfaces, AI-powered features, course content, certifications, and all related services (collectively, the "Service"), operated by SkillDesk.ai ("we," "our," or "us").
By creating an account, accessing, or using any part of our Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Definitions
- "User" means any individual who accesses or uses the Service, including learners, instructors, mentors, training partners, and organization administrators.
- "Learner" means a User who enrolls in and consumes educational content on the platform.
- "Instructor / Trainer" means a User who creates, publishes, or manages course content.
- "Organization" means a company, institution, or entity that has registered for an enterprise or white-label plan and administers access for its members.
- "Content" means all courses, lessons, quizzes, assessments, videos, materials, AI-generated outputs, and any other information available through the Service.
- "AI Features" means any functionality powered by artificial intelligence or machine learning, including adaptive learning paths, the SkiDoo Jr chatbot, content recommendations, and automated assessments.
- "Subscription" means a recurring paid plan granting access to the Service or specific features.
2. Eligibility
You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use the Service. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. We reserve the right to verify eligibility and to suspend or terminate accounts that do not meet these requirements.
3. Account Registration and Security
3.1 Account Creation
To access most features of the Service, you must register for an account and provide accurate, complete, and current information. You agree to maintain and promptly update your account information to keep it accurate.
3.2 Account Credentials
You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately at support@skilldesk.ai if you suspect any unauthorized use of your account. We are not liable for any loss arising from your failure to protect your credentials.
3.3 One Account per User
Each individual may maintain only one personal account. Creating multiple accounts to circumvent restrictions, earn duplicate certifications, or abuse trial or promotional offers is prohibited.
4. Description of the Service
SkillDesk Academy provides an AI-powered learning experience platform that includes:
- On-demand and instructor-led courses, lessons, capsule courses, and challenge modules
- AI-generated adaptive learning paths and personalized recommendations
- Career path planning and skill gap analysis tools
- Quizzes, assessments, and competency evaluations
- Certifications and digital credentials upon course or program completion
- Mentorship programs connecting learners with domain experts
- Training partnership features for organizations and training providers
- The SkiDoo Jr AI chatbot for in-platform learning support
- Organization-level administration, reporting, and white-label academy environments
- Marketplace for purchasing individual courses or bundled learning programs
We continually evolve the Service. We reserve the right to modify, add, or discontinue features at any time, with reasonable notice where material changes affect paid features.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Share, resell, or redistribute course content, certifications, or platform access without our prior written consent
- Reverse engineer, decompile, scrape, or extract data from the Service using automated tools
- Upload, post, or transmit content that is illegal, harmful, defamatory, obscene, fraudulent, or infringes on third-party rights
- Impersonate another person or entity, or misrepresent your affiliation
- Attempt to gain unauthorized access to any portion of the Service or related systems
- Use the AI Features to generate content that is misleading, discriminatory, abusive, or in violation of applicable laws
- Circumvent, disable, or interfere with security-related features of the Service
- Use the Service to send unsolicited communications or engage in phishing
- Violate any applicable laws, regulations, or third-party rights
We reserve the right to investigate violations and may suspend or terminate accounts found in breach of this policy, without refund, and may refer matters to appropriate authorities.
6. Content and Intellectual Property
6.1 Our Content
All content provided by SkillDesk.ai — including course materials, videos, assessments, software, trademarks, logos, and AI-generated outputs — is the exclusive property of SkillDesk.ai or its licensors and is protected by applicable intellectual property laws. No license is granted to reproduce, modify, or commercially exploit this content without our written permission.
6.2 User-Generated Content
If you submit, post, or upload content to the Service ("User Content"), you retain ownership of that content. By submitting User Content, you grant SkillDesk.ai a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display that content in connection with operating and improving the Service.
6.3 Content Standards
You are solely responsible for any User Content you submit. User Content must not infringe third-party intellectual property rights, contain false or misleading information, or violate any applicable law. We reserve the right to remove User Content that violates these standards.
6.4 AI-Generated Content
AI Features on the platform may generate content, recommendations, or assessments. Such outputs are provided for educational and informational purposes only. We do not warrant the accuracy, completeness, or fitness for any specific purpose of AI-generated content and encourage critical evaluation of all AI outputs.
6.5 DMCA / Copyright Complaints
If you believe your copyrighted work has been used on the Service in a way that constitutes infringement, please send a notice to hi@skilldesk.ai with details of the alleged infringement. We will respond promptly in accordance with applicable copyright law.
7. Certifications and Credentials
Upon satisfying the stated completion requirements for a course or program, you may be awarded a digital certificate or credential. Certificates are issued for personal achievement and informational purposes. They do not constitute professional licensure, accreditation, or guarantees of employment unless explicitly stated otherwise by the issuing organization.
We reserve the right to revoke certificates if they were obtained through academic dishonesty, exploitation of platform vulnerabilities, or other violations of these Terms.
8. Subscriptions, Payments, and Refunds
8.1 Pricing and Billing
Certain features of the Service require payment. All prices are displayed in your applicable currency and are inclusive or exclusive of taxes as indicated. We use third-party payment processors to handle transactions securely; your payment information is not stored on our servers.
8.2 Subscriptions
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until that date.
8.3 Refund Policy
Individual course purchases may be eligible for a full refund within 7 days of purchase, provided that you have not completed more than 20% of the course content. Subscription fees are non-refundable once a billing cycle has commenced, except where required by applicable law. To request a refund, contact support@skilldesk.ai.
8.4 Free Trials and Promotions
We may offer free trials or promotional access. We reserve the right to modify or discontinue such offers at any time. Unless otherwise stated, free trial access does not include all premium features.
8.5 Price Changes
We reserve the right to change pricing at any time. For existing subscribers, price changes will be communicated at least 30 days in advance and will take effect at the next renewal.
9. Enterprise and Organization Accounts
9.1 Organization Responsibilities
Organizations that access the Service through an enterprise plan are responsible for managing their Users, including enrollments, permissions, and compliance with these Terms. The organization administrator assumes responsibility for all activity conducted under the organization's account.
9.2 White-Label Academies
Organizations with white-label plans may customize their academy environment with their own branding, domain, and content. Such customizations must comply with these Terms and applicable laws, and may not be used to mislead users about the underlying platform.
9.3 Training Partnerships
Training partners accepted onto the platform agree to additional terms governing content standards, revenue sharing, quality assurance, and learner support as outlined in the Training Partner Agreement. In case of conflict between these Terms and the Training Partner Agreement, the latter shall govern with respect to the partnership relationship.
9.4 Learner Data
When organizations access learner data and progress reports, they must do so only for legitimate educational and business purposes and must comply with applicable data protection laws.
10. Mentorship Program
The mentorship features on the platform facilitate connections between learners and experienced professionals. SkillDesk.ai acts solely as a platform intermediary and is not responsible for the advice, guidance, or conduct of mentors. Mentors and mentees are responsible for conducting their interactions professionally, respectfully, and in compliance with these Terms.
Mentors may not solicit learners for paid services outside the platform or engage in any conduct that exploits the mentorship relationship for personal gain inconsistent with the platform's purpose.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your data as described in the Privacy Policy.
12. Third-Party Services and Links
The Service may integrate with or link to third-party services, tools, or websites. These integrations are provided for convenience and do not constitute endorsement. We are not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with third parties are governed by their respective terms and policies.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
EDUCATIONAL CONTENT, AI OUTPUTS, CAREER GUIDANCE, AND SKILL ASSESSMENTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE IN ANY REGULATED FIELD INCLUDING LEGAL, MEDICAL, FINANCIAL, OR OTHER SPECIALIZED DOMAINS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKILLDESK.AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
15. Indemnification
You agree to defend, indemnify, and hold harmless SkillDesk.ai, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of or access to the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
16. Termination
16.1 Termination by You
You may terminate your account at any time by following the account deletion process in your settings or by contacting our support team. Upon termination, your right to access the Service ceases immediately.
16.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service at our discretion, without prior notice or liability, if you breach these Terms or if we are required to do so by law.
16.3 Effect of Termination
Upon termination, all rights granted to you under these Terms immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, indemnification, and limitation of liability — shall survive.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SkillDesk.ai is incorporated, without regard to its conflict of law principles.
Any dispute arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules. Each party waives the right to a jury trial and to participate in any class action proceeding, to the extent permitted by law.
18. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, features, legal requirements, or other factors. We will notify you of material changes by posting the revised Terms on this page and updating the "Last Updated" date, and may provide additional notice via email or in-platform notification where appropriate.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service.
19. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements referenced herein, constitute the entire agreement between you and SkillDesk.ai regarding the Service.
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations freely.
- Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, cyberattacks, or government actions.
- Language: These Terms are provided in English. In the event of any inconsistency between translated versions, the English version shall prevail.
